These Terms & Conditions constitute a legally binding agreement between you and BRAIDERY AS. By accessing or using the Service, you agree to be bound by these Terms.

2. Definitions

  • "Account" means a personal user account created to access the Service.
  • "AI Features" means all artificial intelligence and machine learning features in the Service, including but not limited to hair scanning, hair analysis, routine generation, product recommendations, and any future AI-powered functionality.
  • "Content" means any text, images, photos, videos, reviews, data, information, or other materials uploaded, submitted, posted, or displayed through the Service.
  • "Credits" means digital units purchased within the Service that can be redeemed for AI scans, routines, and other features.
  • "Marketplace" means the section of the Service where consumers can discover, connect with, and transact with Vendors.
  • "Platform" means the Braidery mobile application (iOS and Android), website, APIs, and all related technology and infrastructure.
  • "Products" means any physical or digital goods sold or made available through the Service, whether by Braidery or by Vendors.
  • "Professional Account" means an account type for stylists, braiders, salons, and other hair professionals.
  • "Scan" means an AI-powered hair analysis performed using Credits.
  • "Service" means the Braidery platform, application, website, and all features, tools, content, and functionality provided by Braidery.
  • "Subscription" means a recurring paid plan providing access to premium features of the Service.
  • "User Content" means any Content that users or professionals upload, submit, or make available through the Service.
  • "Vendor" means any professional, salon, business, or individual offering services, bookings, or products through the Marketplace.

3. Description of the Service

Braidery is an AI-powered haircare technology platform. The Service currently includes and may in the future expand to include:

  • AI-powered hair health analysis using computer vision and machine learning to assess texture, porosity, moisture, density, and condition.
  • Personalised hair care routines, tips, and recommendations generated by AI.
  • Product recommendations and product discovery.
  • A marketplace connecting consumers with hair professionals, stylists, braiders, and salons.
  • Professional tools allowing Vendors to create profiles, showcase portfolios, list services, manage bookings, and grow their businesses.
  • E-commerce functionality allowing Braidery and/or Vendors to sell physical and digital products directly through the platform.
  • Advertising and sponsored content within the platform.
  • Community features, content sharing, and social functionality.
  • Educational content related to hair care, hair health, and hair science.
  • Any additional features, tools, or services that Braidery may develop and offer in the future.

Braidery is a technology platform. Unless explicitly stated otherwise, Braidery does not itself provide hairdressing services, salon services, braiding services, or manufacture hair products. Braidery may in the future sell products directly. If and when Braidery sells products directly, those sales will be subject to these Terms and our Terms of Sale & Service.

4. Acceptance of Terms

By creating an Account, accessing the Service, or making a purchase, you confirm that you have read and agree to these Terms, our Terms of Sale & Service, and our Privacy Policy. You confirm that you are legally capable of entering into a binding agreement. If you are using the Service on behalf of an organisation, you confirm that you have the authority to bind that organisation to these Terms.

We may update these Terms at any time. We will notify you of material changes through the app or by email. Your continued use of the Service after changes are posted constitutes acceptance. If you do not agree with updated Terms, you must stop using the Service immediately.

5. Eligibility

You must be at least 13 years old to create an Account and use the Service. You must be at least 18 years old to make purchases, enter into transactions, or create a Professional Account, unless you have verifiable parental or guardian consent. The Service is not directed at children under 13. If we learn that a child under 13 has created an Account, we will terminate it and delete associated data. By using the Service, you represent and warrant that you meet these eligibility requirements.

6. Your Account

6.1 Account creation
You must provide accurate, current, and complete information when creating an Account. You agree to update your information to keep it accurate. You may not use false or misleading information or create an Account in someone else's name.

6.2 Account security
You are solely responsible for maintaining the confidentiality and security of your Account credentials. You are responsible for all activity that occurs under your Account, whether or not authorised by you. You must notify us immediately at support@braidery.com if you suspect unauthorised access to your Account. Braidery is not liable for any loss or damage arising from your failure to maintain Account security.

6.3 Account limits
One Account per person. Multiple accounts for the same individual are not permitted. Braidery reserves the right to merge or terminate duplicate accounts.

6.4 Account suspension and termination
Braidery reserves the right to suspend, restrict, or terminate your Account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent or illegal activity, abusive behaviour toward other users or Vendors, creating risk or legal exposure for Braidery, or extended inactivity.

7. Acceptable Use Policy

7.1 Permitted use
You may use the Service only for its intended purposes and in compliance with these Terms and all applicable laws.

7.2 Prohibited conduct

  • Use the Service for any unlawful, fraudulent, or malicious purpose.
  • Upload, post, or transmit any Content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, hateful, discriminatory, or otherwise objectionable.
  • Impersonate any person, entity, or Braidery employee, or falsely state or misrepresent your affiliation with any person or entity.
  • Upload or transmit viruses, malware, or any code designed to disrupt, damage, or limit the functionality of the Service.
  • Attempt to gain unauthorised access to any part of the Service, other users' Accounts, or any systems or networks connected to the Service.
  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service or any AI models.
  • Scrape, crawl, spider, or use any automated means to access the Service or collect data without our prior written consent.
  • Use the Service to send spam, unsolicited messages, or bulk communications.
  • Interfere with or disrupt the Service, servers, or networks connected to the Service.
  • Circumvent, disable, or interfere with any security, rate-limiting, or access control features.
  • Use the Service in any manner that could damage, disable, overburden, or impair the Service.
  • Use AI Features to generate content for illegal, harmful, or deceptive purposes.
  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without express written permission.
  • Use the Service to compete with Braidery or to build a similar or competing product or service.
  • Violate the intellectual property rights of Braidery, other users, Vendors, or any third party.
  • Engage in price manipulation, fake reviews, or any form of marketplace fraud.
  • Use the Service to collect personal information about other users without their consent.

7.3 Enforcement
Braidery reserves the right to investigate, and take appropriate action against, any violation of this section, including removing Content, suspending or terminating Accounts, reporting to law enforcement, and pursuing legal remedies.

8. AI Features — Terms and Disclaimers

8.1 AI technology
Braidery uses artificial intelligence and machine learning technologies, including but not limited to Google AI, Gemini AI models, computer vision, and natural language processing, to power features such as hair scanning, hair analysis, routine generation, and product recommendations.

8.2 AI-generated content disclaimer

  • May contain errors, inaccuracies, or omissions.
  • May not be suitable for your specific situation.
  • Are not guaranteed to be accurate, complete, current, or reliable.
  • Do not constitute medical, dermatological, or professional advice.
  • Should not be used as a substitute for professional consultation.
  • May produce different results at different times for the same input.

You acknowledge that AI technology is inherently probabilistic and that results will vary. You use AI Features and act on AI-generated content entirely at your own risk.

8.3 No medical advice
Nothing in the Service constitutes medical advice. AI hair analysis does not diagnose medical conditions. If you have concerns about your hair or scalp health, consult a qualified healthcare professional. Braidery is not liable for any health decisions made based on AI-generated results.

8.4 AI training and improvement
By using the Service, you acknowledge and agree that Braidery may use anonymised and aggregated data derived from your use of AI Features, including scan data, interaction patterns, and feedback, to train, improve, develop, and enhance AI models and algorithms. This data will be stripped of personally identifiable information before being used for training purposes. If you do not want your data used for AI improvement, you may opt out by contacting support@braidery.com. Opting out may limit certain features of the Service. Braidery may also use third-party AI training services, and anonymised data may be shared with such services subject to appropriate data processing agreements. AI models trained using aggregated platform data are the property of BRAIDERY AS.

8.5 AI availability
AI Features depend on the availability and performance of third-party AI services, including Google AI and Google Cloud Platform. Braidery does not guarantee uninterrupted, error-free, or continuous availability of AI Features. AI Features may be modified, improved, or discontinued at any time without notice. Braidery is not liable for any disruption, degradation, or unavailability of AI Features caused by third-party service changes, outages, or discontinuation.

9. Marketplace — Vendors, Bookings, Products & E-Commerce

9.1 Braidery as a platform
The Marketplace allows consumers to discover, connect with, and transact with Vendors. Braidery is a technology platform that facilitates connections between consumers and Vendors. Unless explicitly stated otherwise, Braidery does not act as a Vendor and is not a party to transactions between consumers and Vendors.

9.2 Vendor relationships
Any transaction, booking, service agreement, or product purchase made through the Marketplace between a consumer and a Vendor is a direct contract between those two parties. The Vendor is solely responsible for their services, products, pricing, availability, quality, legality, delivery, returns, and compliance with all applicable laws and regulations.

9.3 Payments for Vendor transactions
All payments for Vendor services, bookings, and products go directly from the buyer to the Vendor. Braidery does not process, receive, hold, or forward any payment on behalf of Vendors. Braidery is not a payment intermediary, escrow service, or financial institution for Vendor transactions.

9.4 Braidery direct sales
Braidery may in the future sell products (physical or digital) directly through the platform. When Braidery is the seller, this will be clearly indicated at the point of sale. Direct sales by Braidery will be subject to these Terms, our Terms of Sale & Service, and applicable Norwegian consumer law.

9.5 E-commerce features
The Service may include e-commerce functionality allowing Vendors and/or Braidery to list, market, and sell products. All product listings must be accurate and comply with applicable laws. Product availability and pricing are subject to change without notice. Braidery is not responsible for the accuracy of Vendor product listings or the quality of Vendor products.

9.6 No responsibility for Vendor transactions

  • The quality, safety, legality, suitability, or fitness for purpose of any Vendor service, booking, or product.
  • Any injury, damage, allergic reaction, hair damage, skin reaction, or harm of any kind resulting from Vendor services or products.
  • Cancellations, no-shows, delays, rescheduling, or scheduling errors by Vendors.
  • The accuracy, truthfulness, or completeness of Vendor profiles, descriptions, photos, portfolios, qualifications, certifications, or claims.
  • Any financial loss, overcharging, or billing disputes arising from Vendor transactions.
  • Vendor compliance with tax, licensing, health and safety, insurance, or regulatory requirements.
  • Products that are defective, mislabelled, expired, or not as described.
  • Delivery failures, shipping damage, or lost shipments for Vendor products.
  • Any dispute between a consumer and a Vendor.

If you have a complaint about a Vendor, you must resolve it directly with the Vendor. Braidery may, at its sole discretion, assist in facilitating communication but has no obligation to mediate, arbitrate, or resolve disputes and bears no financial responsibility.

9.7 Vendor obligations

  • Provide accurate and truthful information about their services, products, qualifications, and business.
  • Comply with all applicable Norwegian and international laws and regulations.
  • Maintain any required licences, permits, or insurance.
  • Handle their own customer service, returns, refunds, and complaints.
  • Not misrepresent their qualifications, experience, or capabilities.
  • Not engage in fraudulent, deceptive, or unfair business practices.
  • Comply with these Terms and any additional Vendor terms Braidery may introduce.
  • Be solely responsible for the tax implications of their sales and earnings.

Braidery reserves the right to remove, suspend, or restrict Vendor profiles and listings that violate these Terms at any time without notice.

9.8 Vendor reviews and ratings
The Service may allow users to leave reviews and ratings for Vendors. Reviews reflect the opinions of individual users and not those of Braidery. Braidery does not verify, endorse, or guarantee the accuracy of reviews. Braidery reserves the right to remove reviews that violate these Terms. Vendors may not offer incentives for positive reviews or penalise users for negative reviews.

10. Advertising and Sponsored Content

10.1 Advertising on the platform
Braidery may display advertisements, sponsored content, promoted listings, and other commercial content within the Service. Advertisements may be targeted based on anonymised user data, usage patterns, location, or other non-personally-identifiable factors, in accordance with our Privacy Policy. Sponsored content and promoted listings will be identified as such where required by applicable law.

10.2 Third-party advertisers
Braidery may partner with third-party advertising networks and platforms to serve advertisements. Third-party advertisers may use cookies, tracking pixels, or similar technologies in accordance with our Privacy Policy and their own privacy policies. Braidery is not responsible for the content, accuracy, legality, or practices of third-party advertisers. Clicking on an advertisement may take you to a third-party website or service that is not controlled by Braidery.

10.3 Advertising disclaimer
Braidery does not endorse, guarantee, or assume responsibility for any product, service, or content advertised on the platform. Any transaction between you and an advertiser is solely between you and that advertiser. Braidery is not liable for any loss or damage resulting from your interaction with advertisers or sponsored content.

10.4 Opting out of personalised advertising
You may manage your advertising preferences in the app under Settings. You may opt out of personalised advertising, though you may still see non-personalised ads. Opting out does not reduce the number of ads displayed.

11. Products Sold by Braidery

11.1 Future product sales
Braidery may in the future sell physical and/or digital products directly through the platform, including but not limited to hair care products, accessories, digital guides, courses, and branded merchandise.

11.2 Product descriptions
Braidery will make reasonable efforts to ensure product descriptions, images, and pricing are accurate. However, we do not warrant that product descriptions, images, colours, or other content are accurate, complete, reliable, current, or error-free. If a product you receive is materially different from what was described, your remedies are set out in our Terms of Sale & Service and applicable Norwegian consumer law.

11.3 Pricing
All prices are in NOK and include VAT unless otherwise stated. Prices are subject to change without prior notice. The price applicable to your order is the price displayed at the time of purchase. Errors in pricing may occur. If we discover a pricing error after your order has been placed, we will notify you and give you the option to confirm or cancel the order at the correct price.

11.4 Availability
All products are subject to availability. We reserve the right to limit quantities, refuse orders, or discontinue products at any time without notice. An order confirmation does not guarantee availability.

11.5 Shipping and delivery
If Braidery sells physical products, shipping terms, estimated delivery times, and any applicable shipping costs will be displayed at checkout. Risk of loss and title for physical products pass to you upon delivery. Braidery is not liable for delays caused by shipping carriers, customs, or events beyond our control.

11.6 Product returns and refunds
Product returns and refunds are governed by our Terms of Sale & Service and the Norwegian Right of Withdrawal Act (Angrerettloven). For physical products, you have a 14-day right of withdrawal from the date you receive the product. Products must be returned in their original condition, unused and in original packaging, unless the product is defective. Refunds are processed to the original payment method within 14 days of receiving the returned product. Return shipping costs are borne by the buyer unless the product is defective.

11.7 Defective products
Under the Consumer Purchases Act (Forbrukerkjøpsloven), you have the right to claim for defective products for up to 2 years (or 5 years for products intended to last significantly longer). Your rights include repair, replacement, price reduction, or refund depending on the nature and severity of the defect.

12. User Content

12.1 Your Content
You retain ownership of Content you upload, post, or submit to the Service. By making Content available through the Service, you grant BRAIDERY AS a worldwide, non-exclusive, royalty-free, sublicensable, transferable licence to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, display, and perform your Content in connection with operating, developing, providing, promoting, and improving the Service and researching and developing new services. This licence continues even if you stop using the Service, to the extent your Content has been shared with others, incorporated into the Service, or is reasonably necessary for Braidery to operate. You may request deletion of your Content by contacting support@braidery.com.

12.2 Content used for AI training
You acknowledge and agree that User Content, including but not limited to hair scan images, hair profiles, reviews, preferences, and usage data, may be used in anonymised and aggregated form to train, improve, and develop Braidery's AI models and algorithms. Content used for AI training will be stripped of personally identifiable information. You may opt out of having your Content used for AI training by contacting support@braidery.com.

12.3 Content responsibility
You are solely responsible for all Content you make available through the Service. You represent and warrant that you own or have the necessary rights, licences, and permissions to grant the licence above. Your Content does not and will not violate the rights of any third party, including intellectual property rights, privacy rights, or publicity rights.

12.4 Content moderation
Braidery reserves the right, but has no obligation, to monitor, review, edit, or remove any Content at its sole discretion, for any reason, including but not limited to Content that violates these Terms or applicable law. Braidery is not responsible for any failure to remove objectionable Content.

12.5 Copyright complaints
If you believe your copyrighted work has been used on the platform without authorisation, contact support@braidery.com with a description of the copyrighted work, identification of the infringing Content, your contact information, and a statement that you have a good faith belief the use is not authorised. Braidery will respond to valid copyright complaints in accordance with applicable law.

13. Intellectual Property

13.1 Braidery's intellectual property
All rights, title, and interest in and to the Service, including but not limited to the application, website, AI models, machine learning algorithms, software, source code, object code, APIs, design, user interface, branding, logos, trademarks, trade names, service marks, text, graphics, images, audio, video, data compilations, and all other intellectual property, are and shall remain the exclusive property of BRAIDERY AS and/or its licensors. The Service is protected by copyright, trademark, patent, trade secret, and other intellectual property laws of Norway, the European Union, and international treaties.

13.2 Limited licence to you
Subject to your compliance with these Terms, Braidery grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your personal, non-commercial purposes (or for legitimate business purposes if you hold a Professional Account). This licence does not include the right to copy, modify, distribute, sell, lease, or sublicence any part of the Service.

13.3 Feedback
If you provide feedback, suggestions, ideas, or recommendations regarding the Service ("Feedback"), you assign to Braidery all rights in such Feedback. Braidery may use Feedback for any purpose without obligation or compensation to you.

13.4 Third-party intellectual property
Third-party technologies, services, and content used by or integrated with the Service, including but not limited to Google Cloud Platform, Google AI, Gemini, Firebase, and Vipps, remain the intellectual property of their respective owners.

13.5 Trademarks
BRAIDERY, the Braidery logo, and other Braidery marks, graphics, and logos used in connection with the Service are trademarks or registered trademarks of BRAIDERY AS. Other trademarks, service marks, and logos used in the Service are the trademarks of their respective owners.

14. Third-Party Technology and Cloud Infrastructure

14.1 Google Cloud Platform and Google AI
The Service is built on and uses services provided by Google, including Google Cloud Platform (GCP), Google AI and Gemini AI models, Firebase (authentication, database, storage, hosting, cloud functions), Google Cloud Storage, Google Analytics, and other Google Cloud services.

14.2 Data processing on Google infrastructure
User data, including Account information, hair scan images, AI results, and usage data, is processed and stored on Google Cloud infrastructure. Data is stored on servers located within the EU/EEA unless otherwise specified in our Privacy Policy.

14.3 Vipps
Payment processing is provided by Vipps MobilePay AS. Your use of Vipps is subject to Vipps' own terms of service and privacy policy. Braidery is not responsible for Vipps' availability, performance, or policies.

14.4 Other third-party services
The Service may use, integrate with, or link to additional third-party services, including analytics providers, content delivery networks, email services, push notification services, advertising networks, social media platforms, and other technology providers.

14.5 Third-party links
The Service may contain links to third-party websites, services, or content that are not owned or controlled by Braidery. Braidery has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party website or service.

14.6 No warranty for third-party services
BRAIDERY AS does not warrant, endorse, guarantee, or assume responsibility for the performance, availability, accuracy, security, legality, or suitability of any third-party service. Third-party services are provided "as is" and "as available." Any claims or disputes related to third-party services must be directed to the respective provider.

15. Privacy and Data Protection

15.1 Privacy Policy
We process personal data in accordance with the Norwegian Personal Data Act (Personopplysningsloven), the EU General Data Protection Regulation (GDPR), and our Privacy Policy, which is available in the app and at braidery.com.

15.2 Data collection
We collect and process data necessary to provide and improve the Service, including Account information, hair scan images and AI analysis results, usage data, device information, payment transaction records, location data (if permitted), and communication records.

15.3 Data use
We use your data to provide, operate, and maintain the Service; personalise your experience; process transactions; monitor and analyse usage trends; train and improve AI models using anonymised data; detect fraud; comply with legal obligations; and develop new features.

15.4 Data sharing
We do not sell your personal data. We may share data with Google Cloud and Google AI for hosting and AI functionality, Vipps for payment processing, analytics providers, and law enforcement when required by law.

15.5 Data retention
We retain your data for as long as your Account is active or as needed to provide the Service. After Account deletion, we will delete your personal data within 30 days, except where retention is required by law.

15.6 Your data rights
Under GDPR and Norwegian law, you have the right to access, rectify, delete, restrict processing of, and port your personal data. You may also object to processing and withdraw consent at any time. To exercise these rights, contact support@braidery.com.

15.7 Cookies and tracking
The Service may use cookies, local storage, and similar tracking technologies. Details are provided in our Privacy Policy.

15.8 Children's privacy
The Service is not directed at children under 13. We do not knowingly collect personal data from children under 13.

16. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED UNDER NORWEGIAN LAW:

THE SERVICE, INCLUDING ALL AI FEATURES, MARKETPLACE FUNCTIONALITY, CONTENT, PRODUCTS, AND ALL OTHER ASPECTS OF THE PLATFORM, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES.
  • WARRANTIES THAT AI RESULTS WILL BE ACCURATE, COMPLETE, RELIABLE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.
  • WARRANTIES REGARDING THE AVAILABILITY, PERFORMANCE, OR CONTINUITY OF THIRD-PARTY SERVICES.
  • WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.
  • WARRANTIES REGARDING THE CONDUCT, QUALIFICATIONS, OR RELIABILITY OF ANY VENDOR, USER, OR THIRD PARTY.

THIS DISCLAIMER DOES NOT AFFECT MANDATORY CONSUMER RIGHTS UNDER NORWEGIAN LAW (FORBRUKERKJØPSLOVEN AND ANGRERETTLOVEN) THAT CANNOT BE WAIVED OR LIMITED BY AGREEMENT.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED UNDER NORWEGIAN LAW:

17.1 Exclusion of damages
BRAIDERY AS, ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, THE "BRAIDERY PARTIES") SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOSS OF PROFITS, REVENUE, BUSINESS, SAVINGS, GOODWILL, OR DATA, OR COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY.

17.2 Specific exclusions

  • AI scan results, recommendations, routines, or any AI-generated content.
  • Any hair damage, skin reaction, allergic reaction, or health issue resulting from following AI recommendations.
  • Vendor services, products, bookings, or any transaction between you and a Vendor.
  • The conduct, actions, or omissions of any Vendor, user, or third party.
  • Unauthorised access to your Account resulting from your failure to maintain security.
  • Failures, outages, or discontinuation of third-party services including Google Cloud, Google AI, Firebase, or Vipps.
  • Interruption, suspension, or termination of the Service.
  • Loss of data or Content.
  • Products sold by Braidery or Vendors, to the extent permitted by law.
  • Decisions made based on information obtained through the Service.

17.3 Cap on liability
IN ANY EVENT, THE TOTAL AGGREGATE LIABILITY OF THE BRAIDERY PARTIES FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU HAVE PAID DIRECTLY TO BRAIDERY AS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED NORWEGIAN KRONER (NOK 100).

17.4 Statutory rights
NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE NORWEGIAN LAW, INCLUDING BUT NOT LIMITED TO LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY GROSS NEGLIGENCE OR WILFUL MISCONDUCT, FRAUD OR FRAUDULENT MISREPRESENTATION, OR MANDATORY CONSUMER RIGHTS UNDER FORBRUKERKJØPSLOVEN AND ANGRERETTLOVEN.

17.5 Basis of the bargain
THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION REFLECT A REASONABLE ALLOCATION OF RISK BETWEEN YOU AND BRAIDERY AND ARE A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN US. THE SERVICE WOULD NOT BE PROVIDED TO YOU WITHOUT THESE LIMITATIONS.

18. Indemnification

18.1 Your indemnification obligations
You agree to indemnify, defend, and hold harmless the Braidery Parties from and against any and all claims, actions, demands, suits, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable legal fees and court costs) arising from or related to your use of or access to the Service, your violation of these Terms or any applicable law, your violation of any rights of any third party, Content you upload or submit through the Service, your interactions or disputes with Vendors or other users, your negligence or wilful misconduct, any claim that your Content caused damage to a third party, and your use of AI Features and any actions taken based on AI-generated results.

18.2 Indemnification procedure
Braidery will provide reasonable notice of any claim subject to indemnification. Braidery reserves the right, at your expense, to assume exclusive defence and control of any matter subject to indemnification. You agree to cooperate with our defence of such claims. You will not settle any claim without Braidery's prior written consent.

19. Dispute Resolution

19.1 Contact us first
If you have a dispute arising from or related to these Terms or the Service, you agree to first contact us at support@braidery.com and attempt to resolve the dispute informally. We will make good faith efforts to resolve any dispute within 30 days of receiving your complaint.

19.2 Vendor disputes
For disputes relating to Vendor services, bookings, or products, you must contact the Vendor directly. Braidery is not a party to Vendor transactions and has no obligation to mediate, arbitrate, or resolve disputes between you and Vendors.

19.4 Governing law
These Terms and any dispute arising from or related to them or the Service shall be governed by and construed in accordance with the laws of Norway, without regard to its conflict of law provisions.

19.5 Jurisdiction
Any legal proceedings arising from or related to these Terms or the Service shall be brought exclusively before the competent courts of Norway. You consent to the personal jurisdiction of such courts.

20. Service Modifications and Termination

20.1 Changes to the Service
Braidery reserves the right at any time to modify, update, suspend, or discontinue, temporarily or permanently, the Service or any part thereof, with or without notice.

20.2 No liability for changes
Braidery shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

20.3 Termination by you
You may terminate your Account at any time by deleting your Account through the app settings or by contacting support@braidery.com. Upon termination, your right to use the Service ceases immediately.

20.4 Termination by Braidery
Braidery may terminate or suspend your Account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Any unused Credits or remaining Subscription time may be forfeited upon termination for violation of these Terms.

20.5 Survival
The following sections shall survive any termination: Definitions, Intellectual Property, User Content (licence grant), Limitation of Liability, Disclaimer of Warranties, Indemnification, Dispute Resolution, Governing Law, and any other provisions that by their nature should survive.

21. Force Majeure

Braidery shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond Braidery's reasonable control, including but not limited to natural disasters, war, terrorism, epidemics, pandemics, government actions, power outages, internet outages, third-party service outages (including Google Cloud Platform, Google AI, Firebase, Vipps), cyberattacks, strikes, and supply chain disruptions.

During a force majeure event, Braidery's obligations are suspended for the duration of the event. If a force majeure event continues for more than 90 days, either party may terminate these Terms by written notice.

22. General Provisions

22.1 Entire agreement
These Terms, together with the Terms of Sale & Service and Privacy Policy, constitute the entire agreement between you and BRAIDERY AS regarding the Service.

22.2 Severability
If any provision is held invalid, the remaining provisions remain in full force and effect.

22.3 Waiver
No failure or delay by Braidery in exercising any right shall operate as a waiver thereof.

22.4 Assignment
You may not assign your rights under these Terms without our written consent. Braidery may assign its rights without restriction.

22.5 No third-party beneficiaries
These Terms are for the benefit of you and Braidery only, except that the Braidery Parties are intended third-party beneficiaries of the limitation of liability and indemnification provisions.

22.6 Notices
Notices to you may be sent via email, in-app notifications, or posting on the Service. Notices to Braidery must be sent to support@braidery.com or by mail to Sundveien 81, 8534 Liland, Norway.

22.7 Headings
Section headings are for convenience only and have no legal effect.

22.8 Language
These Terms are drafted in English. If there is a conflict between the English version and any translation, the English version shall prevail.

22.9 Relationship of the parties
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Braidery.

22.10 Export compliance
You agree to comply with all applicable export and import laws in connection with your use of the Service.

23. Changes to These Terms

Braidery reserves the right to modify these Terms at any time. If we make material changes, we will provide notice by updating the "Last updated" date, sending you an email notification, displaying a notice in the app, or any combination of the above. Material changes will take effect no sooner than 30 days after notice is provided, except where changes are required by law, relate to new features, or are required by third-party service providers (including Google), in which case they may take effect immediately. Your continued use of the Service after the effective date of revised Terms constitutes acceptance. If you do not agree, you must stop using the Service and delete your Account before the changes take effect.
